STIMU GOVERNANCE AND MANAGEMENT STRUCTURE
STIMU employs a governance structure wherein the decision making responsibilities are shared among the campus constituencies which include the board of directors, the academic board, the executive management group, faculty, students, staff, administrators and student body. The STIMU Corporate Charter delegates the authority, power and influence regarding institutional and academic decisions to its three university bodies: (1) the governing board (Board of Directors) which usually appoints the senior and key leadership positions and responsible for the overall academic, administrative and financial matters and plans; (2) the academic board which responsibility is purely with regards to academic matters; and (3) the executive management group, formerly known as the Steering Committee, which is responsible for administration, finance and operations.
B. COMPOSITION, FUNCTIONS AND RESPONSIBILITIES OF THE STIMU GOVERNING BODIES:
B.1 THE BOARD OF DIRECTORS
Composition of the BOD
The Board is composed of five qualified and competent members each regarded in their own respective fields and industry. All are business owners or have held senior management positions in industries such as telecommunications and ICT, real estate, health care and academic institutions. The BOD acts as one body and no individual member is delegated a single authority over the affairs of the board.
BOD Advisory Committees
To further ensure that the broader responsibilities and accountabilities of the university are performed well and meet standards, the Board is structured into five Advisory Committees each with its own separate oversight functions. Each of the 5 committees is headed by a member of the BOD. These committees are: Committee on Finance, Committee on Research and Education, Committee on Administration and Operations, Committee on External Communications and Partnerships and Committee on Monitoring, Evaluation and Learning.
· Committee on Research and Education – oversight relating to teaching and learning and academic affairs of the university at the national and international levels.
· Committee on Administration and Operations – has the oversight to review and develop the administration, employment, personnel; logistics, finance matters of the school, responsible in ensuring that the university reaches out and connects with its prospective clientele, stakeholders and broader constituents in order to build the general image of the university and enhance business matters. It also presents the university’s achievements to external constituents.
· Committee on Finance – It initiates planning, budgeting forecasts, resource allocation and other financial arrangements. It also leads the review of the annual financial statements of the University, financial procedures and policies.
· Committee on External Affairs and Strategic Partnerships - ensures that the University fosters, develops, maintains and advances the key national and international relationships that will enhance its ability and enable it to perform as a leading University role.
· Committee on Monitoring, Audit, Quality Assurance and Knowledge –sharing - ensures adherence to policy and standards of the university and gathering of feedback and provides appropriate advise on strategic issues relating to risks management. The committee monitors annual periodic reports, university’s performance against plans and budgets and guards against financial fraud, irregularities. It gathers feedback from the Academic Board and Executive Management Group major risks exposures, receives periodic reports on the effectiveness of internal control and overall quality of performance against targets and risks. It determines corresponding risk mitigation measures.

The Board conducts a regular monthly meeting. It also meets monthly with the Academic Board and the Executive Management Group.
B.2 THE ACADEMIC BOARD
The Academic Board is the governing body of the university that is responsible for all the educational services and academic matters of the institution. It operates under the delegated authority of the Committee on Research and Education. It is responsible to matters concerning academic governance which include the approval of new programs and courses, faculty policies, academic and degree standards and requirements, strategic academic plans, teaching, research, examinations and feedback. As the university’s main academic authority it guides the University's academic strategic performance, directions and plans.
Composition of the Academic Board
The Academic Board is composed of all the head of faculties, core faculty members with primary and secondary appointment from all faculty members who have served in their post continuously for some time, and junior lecturers holding complementary faculty appointments. It is also comprised of key representatives from the student council, alumni group, management personnel and advisers. The Advisory Chair on Committee on Education & Research, as well as, Chair of the Committee on External Affairs & Strategic Management also sit on the Academic Board as part of their committee responsibilities. With this broad membership, the Academic Board operates with a wide range of experience and expertise from different perspectives, background and professional discipline. The members bring with them a range of experience and professional expertise making up a multidisciplinary team which ensures the effective advancement of STI’s academic and business work at the local and regional levels.
Roles and Responsibilities of the Academic Board
They meet bimonthly to get updates and discuss on key issues related to academic performance of students and teaching staff, ongoing strategies, projects and activities and determine plans for future progression.
B.3 THE EXECUTIVE MANAGEMENT GROUP (EMG)
The Executive Management Group serves as the executive governing body of the university. It is responsible for matters relating to the management of the University. The EMG reports to the BOD on matters concerning the overall management of the university; while the Academic Board is delegated with the decision making on matters pertaining to the academic status of the university. The BOD delegates the overall management of operations and certain decision making to the EMG. The Group ensures there are effective leadership, management and co-ordination and implementation of all the major academic and support activities. It is also tasked to monitor internal such as the financial state of the university, program delivery, as well as external events such as the state of the economy and politics that will impact on the university.
